Registered Office Address Change
The registered office of a company is the main place where official communications are sent. While a company can have multiple branches or offices, the registered office must be registered with the Ministry of Corporate Affairs (MCA). Any change in the registered office must be updated with the ROC within 15 days.
The registered office location determines the company’s jurisdiction for legal and tax purposes. If there is a change, it must be updated by filing Form INC-22.
Why is the registered office address important?
- Electricity/Water Bill or Property Tax Receipt
- NOC from Landlord (if rented)
- Rent or Lease Agreement with Company
The registered office may also be a residential property. It should not be a vacant land or under construction.
How to change the address of the registered office?
Once declared via Form INC-22, any changes must be informed to the ROC. If the new address is in the same city or town, it must be updated within 15 days. If the change is outside the current jurisdiction or city, then a board resolution and ROC Regional Director approval may be required.
